Please read these Terms of Service ("Terms") carefully before using the Subtle Dynamic task and project management platform at www.subtledynamic.com (the "Service") operated by Subtle Dynamic ("we," "us," or "our"). Your access to and use of the Service is conditioned upon your acceptance of these Terms.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Subtle Dynamic provides a web-based task and project management platform that allows users to create, organize, and manage tasks, projects, and workflows. The Service may include features such as task creation, project boards, team collaboration, file attachments, notifications, and integrations with third-party services.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must provide accurate, current, and complete information during registration and keep your account information updated. You may not use another person's account without permission.
4. User Content
You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service. You are solely responsible for your User Content and represent that you have all necessary rights to grant us this license.

6. Intellectual Property
The Service and its original content, features, and functionality are owned by Subtle Dynamic and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
7. Payment Terms
If you purchase a paid subscription, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We may change our fees at any time with notice. Your subscription will automatically renew unless you cancel before the renewal date.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through your account settings or by contacting us.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS; OR (E) YOUR DATA WILL BE SECURE, BACKED UP, OR RECOVERABLE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBTLE DYNAMIC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
- (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
- (C) ANY CONTENT OBTAINED FROM THE SERVICE;
- (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
- (E) LOSS, CORRUPTION, OR DESTRUCTION OF YOUR DATA OR USER CONTENT;
- (F) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE;
- (G) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Data Loss Disclaimer
YOU ACKNOWLEDGE AND AGREE THAT SUBTLE DYNAMIC SHALL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, OR DESTRUCTION OF YOUR DATA, REGARDLESS OF THE CAUSE. THIS INCLUDES, BUT IS NOT LIMITED TO, DATA LOSS RESULTING FROM: SYSTEM FAILURES, SECURITY BREACHES, BUGS OR ERRORS IN THE SERVICE, THIRD-PARTY ACTIONS, NATURAL DISASTERS, OR ANY OTHER CIRCUMSTANCES BEYOND OUR CONTROL.
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA. WE STRONGLY RECOMMEND THAT YOU REGULARLY EXPORT AND BACKUP YOUR IMPORTANT DATA. WE PROVIDE NO GUARANTEES REGARDING DATA RETENTION, BACKUP, OR RECOVERY.
12. Indemnification
You agree to defend, indemnify, and hold harmless Subtle Dynamic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the United States, and you consent to the personal jurisdiction of such courts.
14. Dispute Resolution
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, you agree that any claim or dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
16. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Subtle Dynamic.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Subtle Dynamic concerning the Service and supersede all prior agreements and understandings.
18. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.
